ANC Terms of Service

These Terms & Conditions ("Agreement") constitute a legally binding agreement between Adelina Noella Singer-Songwriter (hereinafter referred to as the "Artist") and the individual, organization, or entity booking the Artist's services (hereinafter referred to as the "Client"). 

This Agreement governs all live performance bookings, including but not limited to private events, weddings, corporate functions, community events, public performances, and other engagements. 

By submitting a booking request, signing a performance agreement, or paying any deposit or fee, the Client acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions. These Terms & Conditions apply to all bookings unless otherwise agreed to in writing by the Artist. 

The purpose of this Agreement is to clearly define the rights, responsibilities, and expectations of both parties to ensure a professional and mutually beneficial booking experience. 

1. Booking Confirmation

A booking shall not be deemed confirmed until the Artist has accepted the Client's booking request and the full payment has been received. Until both conditions have been satisfied, the requested performance date and time shall remain available for booking by other clients and may be accepted on a first-come, first-served basis. Upon receipt of the required retainer, the Artist shall reserve the agreed-upon performance date and time exclusively for the Client for the duration of this Agreement. 

2. Payment Terms

A booking shall not be deemed confirmed until the Artist has accepted the Client's booking request and the required non-refundable retainer, equal to fifty percent (50%) of the total booking fee, has been received. Until both conditions have been satisfied, the requested performance date and time shall remain available for booking by other clients and may be accepted on a first-come, first-served basis. Upon receipt of the required retainer, the Artist shall reserve the agreed-upon performance date and time exclusively for the Client for the duration of this Agreement. 

3. Cancellation Policy 

Cancellation requests must be submitted in writing by email or another written method agreed upon by both parties.

If the Client provides written notice of cancellation five (5) or more calendar days prior to the scheduled performance date, the Client shall not be required to make any additional payments beyond the booking fee already paid. The booking fee remains non-refundable, as payment secures the Artist's availability and reserves the agreed-upon performance date exclusively for the Client.

If the Client cancels the booking fewer than five (5) calendar days before the scheduled performance date, the full contracted booking fee shall remain payable and no refunds, credits, or payment waivers shall be issued.

4. Rescheduling, Postponements, & Client Cancellations

Requests to reschedule a performance must be submitted in writing at least fourteen (14) calendar days prior to the originally scheduled performance date. Rescheduling requests submitted after this timeframe may be treated as a cancellation under Section 3 of this Agreement. 

If the Artist is available on the requested alternative date, the booking may be transferred to the new date at no additional charge. Any payments previously received by the Artist shall be applied toward the rescheduled performance. 

If the Artist is unavailable on the requested alternative date, or if a mutually acceptable replacement date cannot be established, the request shall be treated as a cancellation in accordance with the terms outlined in Section 3. 

If the Client cancels a confirmed performance booking, written notice must be provided to the Artist. Cancellations made more than seven (7) calendar days prior to the scheduled performance date will result in 50% of the total contracted fee being retained by the Artist, with any remaining amount paid by the Client refunded. Cancellations made within seven (7) calendar days of the scheduled performance date will result in the Artist retaining 100% of the total contracted fee, and no refund will be issued.

Section 5: Cancellation Due To Unforeseen Circumstances 

Neither party shall be held liable for any failure or delay in fulfilling their obligations under this Agreement where such failure or delay results from circumstances beyond the reasonable control of either party ("Force Majeure Event"). Such circumstances may include, but are not limited to, severe weather conditions, natural disasters, government restrictions, public emergencies, venue closures, power outages, serious illness or injury, or any other unforeseen event that prevents the performance from reasonably proceeding. 

In the event that a performance is cancelled due to a Force Majeure Event, the Client may choose one of the following options: 

(a) Apply all payments made toward a future booking with the Artist within twelve (12) months of the original performance date, subject to the Artist's availability; or 

(b) Receive a full refund of all payments made toward the cancelled performance. 

The parties acknowledge that any rescheduled performance under this section remains subject to availability and agreement between both parties. 

6. Artist Cancellation 

The Artist will make every reasonable effort to fulfill all confirmed performance engagements. However, the Artist reserves the right to cancel a performance in circumstances where fulfillment becomes impossible due to serious illness, injury, emergency, or other circumstances beyond the Artist's reasonable control.

In the event that the Artist must cancel a confirmed booking, the Artist shall notify the Client as soon as reasonably possible and provide one of the following remedies:

(a) Issue a full refund of all payments received from the Client for the cancelled performance; or

(b) Upon the Client's request, make reasonable efforts to assist in locating a suitable substitute performer.

The Client acknowledges that any substitute performer arrangement is subject to availability and approval by the Client. The Artist does not guarantee the availability or acceptance of a replacement performer.

7. Custom Song Requests

Custom song requests must be submitted at the time of booking or no later than seven (7) calendar days prior to the scheduled performance date. Requests submitted after this deadline may be considered at the Artist's discretion but are not guaranteed to be accepted or performed. 

All custom song requests must be submitted through the official Song Request Form provided by the Artist. Each request must include the requested song title and the name of the original performing artist. The Artist reserves the right to decline incomplete requests or requests that do not provide sufficient information for preparation. 

The number of custom song arrangements included with each performance package is limited as follows: 

30-Minute Performance Package: One (1) custom song arrangement included. 

60-Minute Performance Package: Two (2) custom song arrangements included. 

90-Minute Performance Package: Three (3) custom song arrangements included. 

Additional custom song arrangements beyond the package allowance are available for a fee of twenty dollars ($20) per song. Requests accepted fewer than seven (3) calendar days before the performance are subject to an additional rush fee of twenty dollars ($20) per song. 

Songs selected from the Artist's existing performance repertoire are complimentary and do not count toward custom song limits. 

All custom requests will be performed in the Artist's signature solo piano and/or acoustic style. The Artist retains full creative discretion over the arrangement, key, tempo, interpretation, and overall presentation of each song. The Artist reserves the right to decline requests due to artistic compatibility, technical limitations, preparation requirements, copyright considerations, or other reasonable circumstances. 

Acceptance of a request does not guarantee an exact recreation of the original recording. Custom arrangements are artistic interpretations created by the Artist. 

8. Performance Conditions 

The Artist shall provide all agreed-upon performance equipment unless otherwise specified in writing. The Client is responsible for ensuring that the performance location provides a safe, accessible, and suitable environment for the Artist to perform, including adequate performance space, reasonable access for equipment setup and teardown, and access to standard electrical power when required for equipment operation.

For outdoor performances, the Client is responsible for providing appropriate protection from weather conditions, including adequate shelter from rain, snow, excessive heat, wind, or other environmental factors that may affect the safety of the Artist, equipment, or performance. The Artist reserves the right to modify, delay, pause, or discontinue a performance if weather or venue conditions create an unsafe environment or risk of damage to equipment.

The Client shall ensure that the Artist has sufficient access to the performance area at the agreed-upon setup time and that the performance space remains free from hazards, obstructions, or conditions that would prevent the Artist from performing safely and effectively.

The scheduled performance duration shall begin at the agreed start time. Delays caused by the Client, venue, guests, attendees, lack of access to the performance area, inadequate setup conditions, or circumstances outside of the Artist's control shall not extend the scheduled performance period or result in additional performance time unless otherwise agreed upon in writing.

9. Photography, Recording, & Promotional Use

The Client and guests may take photographs and brief personal recordings of the performance for personal, non-commercial use, provided such recording does not interfere with the Artist's performance, equipment, or the experience of other guests.

Unless the Client provides written notice prior to the event requesting otherwise, the Artist may capture photographs, video, or audio recordings of portions of the performance for promotional, portfolio, advertising, social media, website, and other professional purposes. The Artist may use such materials to showcase past performances, promote future bookings, and represent the Artist's work. The Artist will make reasonable efforts to respect guest privacy and avoid intentionally recording individuals who have indicated that they do not wish to be included.

The Client acknowledges that the Artist may promote their services in connection with the performance, including sharing performance-related content, identifying the venue or event (where appropriate), and requesting reviews, testimonials, comments, or social media engagement from the Client, attendees, or other individuals who experienced the performance. The Artist may communicate with attendees for these promotional purposes in a respectful manner and without disrupting the event.

All original compositions, arrangements, recordings, and other creative works created by the Artist remain the sole intellectual property of the Artist and may not be reproduced, distributed, licensed, or used commercially without prior written permission from the Artist.

10. Limitation of Liability 

Except where required by applicable law or where directly caused by the Artist's own negligence or intentional misconduct, the Artist shall not be liable for any indirect, incidental, special, consequential, or punitive losses, damages, costs, or expenses arising from or relating to the performance or this Agreement.

The Artist shall not be responsible for interruptions, delays, shortened performances, or an inability to perform resulting from circumstances beyond the Artist's reasonable control, including but not limited to venue conditions, technical or power failures, actions or omissions of the Client, venue staff, contractors, third parties, guests, attendees, audience members, or any other circumstance that materially interferes with the Artist's ability to perform safely or effectively.

If disruptive, abusive, threatening, unsafe, or illegal conduct by any attendee or other individual prevents the Artist from performing safely or substantially interferes with the performance, the Artist reserves the right to pause, modify, or terminate the performance without penalty. In such circumstances, the performance shall be deemed fulfilled to the extent reasonably possible, and the Client shall remain responsible for all amounts payable under this Agreement.

To the fullest extent permitted by law, the Artist's total liability arising out of or relating to this Agreement shall not exceed the total amount actually paid by the Client for the affected performance.

11. Digital Song Purchases & Refund Policy

All purchases of individual songs, recordings, or other digital audio content are final. Due to the nature of digital products, refunds, exchanges, or cancellations will not be provided once a purchase has been completed and the digital content has been delivered or made available for download or access.

12. Donations

Voluntary donations made to the Artist are made without expectation of goods, services, or future benefits unless expressly stated otherwise. Donations are not tax-deductible, and no charitable donation receipts or tax receipts will be issued. All donations are voluntary and, once processed, are final and non-refundable.
